Clutch is an Israeli non-human-identity startup. Its software tracks the passwords and identity verification codes that AI agents use to access systems. The three-year-old company operates in Israel and the United States. Its product focuses on credentials used by AI agents, rather than on a general-purpose security tool.¹²³⁴⁵

Clutch was last valued at $85 million when it raised its Series A in January 2025. The company is now approaching $10 million in annual recurring revenue, or ARR, a measure of recurring subscription revenue over a year. At the proposed purchase price, the acquisition would value Clutch at about 50 times its ARR.¹²³⁴⁵

Clutch raised seed and Series A funding before the talks

Clutch was founded in late 2023 by Ofir Har-Chen, a former COO at Hunters, together with Sagi Haas and Tal Kimhi. Har-Chen is the company’s CEO, Haas is its CTO and Kimhi is its VP of R&D. The founders built the company around the management of non-human identities, the term used for credentials belonging to software and AI agents.¹²⁴⁵

In July 2024, Clutch raised $8.5 million in a seed round led by Lightspeed Venture Partners, with Merlin Ventures and private investors participating. Those investors included Nir Polak, an Exabeam co-founder, and Armon Dadgar, a HashiCorp co-founder. The funding preceded the company’s Series A and brought outside backing from venture firms and individual investors.¹²³⁴⁵

SignalFire led Clutch’s Series A, with Lightspeed and Merlin Ventures returning as participating investors. Before the reported sale, Clutch had raised $28.5 million in total funding. The Series A investors included firms that had backed the company earlier, alongside SignalFire, which led that round.¹²³⁴⁵

Palo Alto has made other acquisitions this year

If completed, the Clutch deal would mark Palo Alto Networks’ fifth announced acquisition this year. The deal is described as falling under CEO Nikesh Arora’s push to counter new AI threats. The proposed purchase would add Clutch’s software for tracking AI-agent credentials to a company that has also bought businesses in other areas of cybersecurity and technology.¹²³⁴⁵

In September, Palo Alto Networks acquired Console, a two-year-old startup that uses AI agents to automate routine IT help desk tasks. The transaction valued Console at $500 million in stock and cash. Console and Clutch both work with AI agents, but the ledger describes different products: Console automates help desk tasks, while Clutch tracks credentials used to access systems.¹²³⁴⁵

Palo Alto Networks also acquired Chronosphere, an observability platform backed by Greylock and Lux Capital, for $2.95 billion. It acquired Koi, a cybersecurity startup backed by Battery and Team8, for $231 million. These transactions add to the company’s acquisition activity across observability and cybersecurity as the talks with Clutch continue.¹²³⁴⁵

Palo Alto Networks’ Prisma AIRS platform spans runtime security, posture management, AI-agent security, red teaming and model scanning. The company recently said the platform had more than 100 customers. These details describe the broader set of AI-security functions Palo Alto offers alongside its discussions about acquiring a company focused on agent credentials.¹²³⁴⁵

Cyera, a cybersecurity startup valued at $12 billion earlier this year, acquired Oasis Security for $1 billion. Oasis, like Clutch, focuses on managing AI agents’ access to systems. Cisco bought Menlo Ventures-backed Astrix for roughly $400 million. The transactions involved companies working on security for identities, credentials or AI-agent access.¹²³⁴⁵

Upwind, a startup that uses AI to secure cloud infrastructure, turned down an acquisition offer from DataDog that valued it at roughly 40 times ARR. Separately, CrowdStrike agreed this week to spend about $495 million on Fiddler AI and Dreadnode. The cited transactions include acquisition discussions and completed purchases at a range of reported valuations.¹²³⁴

Palo Alto Networks told The Information that it does not comment on “rumors or speculation.” Clutch did not immediately respond to a request for comment. The two responses came in connection with questions about the proposed acquisition; Palo Alto gave a no-comment response, while Clutch had not replied at that point.¹²³⁴⁵

AI security roles now command 50x multiples

If you are weighing a role in AI security, the benchmark for your company's worth just moved. Clutch, at roughly $10 million in annual recurring revenue, is being valued at about 50 times that figure. Upwind turned down an offer at roughly 40 times ARR. That gap tells you where buyers put a premium: on startups securing AI-agent credentials, not just general cloud security. A founder or early employee in that niche can negotiate for a higher valuation or a larger equity stake than peers in adjacent fields.¹²³⁴⁵

For a job seeker, the pattern is clear. Palo Alto has already spent $500 million on Console, $2.95 billion on Chronosphere, and $231 million on Koi this year. Cyera paid $1 billion for Oasis, and Cisco paid roughly $400 million for Astrix. These deals signal that large security vendors are consolidating around AI-agent identity. If you are choosing between a role at a startup or an incumbent, the startup side offers more upside from acquisition premiums, while the incumbent side offers stability from a buyer with a proven appetite for these targets.¹²³⁴⁵
